Investor class and disclosure

Open-ended vehicles fall under the Mutual Funds Act and closed-ended ones under the Private Funds Act, each with its own CIMA registration and audit requirements. Investor minimums determine which exemptions apply.

The licensing route

Registration as a securities investment business registered person, or full licensing where the activity or client base requires it. CIMA’s expectations on governance and oversight apply either way.

Where the vehicle sits

The exempted limited partnership remains the default for closed-ended funds, with segregated portfolio companies used where strategies must be ring-fenced.
