You’re raising a fund with digital assets in scope, out of the United Kingdom. Structure and licensing move together, not one after the other.

Information, not advice

This page is information, not legal advice about your matter. A retainer begins only when a lawyer confirms it.

Start here

Decide who is allowed to invest before you decide anything else

Whether retail investors can access the fund changes the authorisation you need and the documents you produce. Everything else hangs off it.

What to work through, in order

Investor class and disclosure

Whether the vehicle is an alternative investment fund, and whether it can rely on the national private placement route. Retail access brings substantially heavier authorisation and disclosure requirements.

The licensing route

Full FCA authorisation as an AIFM, appointing a host AIFM, or relying on the small registered regime. Each carries different capital, reporting and lead-time consequences.

Where the vehicle sits

An English limited partnership, often with a Channel Islands parallel, and increasingly the qualifying asset holding company regime where tax efficiency matters.
